These Terms of Use and Terms of Sale (“Terms”) govern access to and use of gpsbusinessinsider.com and any related pages, accounts, newsletters, digital reports, products, and services offered by GPS Business Insider (“GPS,” “we,” “us,” or “our”). GPS Business Insider is a California sole proprietorship located at 74774 Highway 111, Indian Wells, California 92210.

By accessing the website, creating an account, placing an order, or using paid content, you agree to these Terms and to any policies incorporated into them, including our Subscription, Cancellation and Refund Policy, Copyright and Content License Policy, Privacy Policy, Cookie Policy, and Editorial, Data and Professional-Advice Disclaimer. If you do not agree, do not use the website or purchase our products.

Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to create an account or make a purchase. If you use the website for a business, agency, or other organization, you represent that you are authorized to accept these Terms for that organization.

Website and editorial content

GPS publishes business and public-affairs news, economic information, research, commentary, and related material concerning Greater Palm Springs, the Coachella Valley, and other relevant markets. Public articles and newsletters may be available without charge. Other content is available only through a purchase, subscription, membership, or license.

We may add, remove, correct, update, reorganize, or discontinue website content or features. Publication schedules, report formats, topics, data sources, and included benefits may change. Any material change affecting an automatically renewing subscription will be communicated as required by applicable law.

Accounts and security

You must provide accurate and current information and keep it updated. You are responsible for protecting your password and for activity under your account. Notify us promptly at info@gpsmarketintel.com if you suspect unauthorized access.

Individual accounts and licenses are for one named user and may not be shared. Team access is limited to the number of authorized seats purchased. Unless GPS agrees otherwise in writing, team users must belong to the subscribing organization and each user must have separate login credentials. The team owner occupies one purchased seat.

We may require password changes, limit simultaneous sessions, investigate unusual account activity, or suspend access when reasonably necessary to protect the website, content, customers, or GPS. When practical, we will provide notice and an opportunity to correct suspected account sharing or misuse. Serious, repeated, fraudulent, or security-related violations may result in immediate suspension or termination.

Products and orders

GPS products may include the GPS Market Monitor, All-Access Individual Subscriptions, All-Access Team Memberships, individual Special Reports, individual Annual Reports, complimentary or curated reports, and custom research services.

All standard website products are digital. No printed product is included unless a product page or separate written agreement expressly says otherwise. Product descriptions, included content, access periods, prices, taxes, and billing terms are shown on the applicable product page or at checkout.

Submitting an order is an offer to purchase. We may decline or cancel an order before delivery for suspected fraud, pricing or technical errors, lack of availability, violation of these Terms, or another lawful reason. If we cancel an order after charging you and before providing access, we will refund the canceled amount.

Prices payment and taxes

You agree to pay the price and any applicable taxes displayed at checkout. Prices may change for future purchases or renewal periods. A price change does not affect a completed standalone purchase. For an existing automatic-renewal subscription, we will give advance notice of a price change as required by law.

Payments are processed by third-party payment providers. You authorize GPS and its payment provider to charge the payment method you submit for your purchase and, when applicable, recurring renewal charges. You represent that you are authorized to use that payment method.

Government agencies or other organizations approved to pay by invoice or check may be subject to additional written payment terms. Access may begin when GPS approves the arrangement and may be suspended if payment is not received when due.

Digital delivery and access

Digital content may be delivered through an online account, protected HTML page, PDF download, email link, or another stated method. Delivery occurs when access or a download is made available to the purchaser’s account or designated email address.

You are responsible for maintaining compatible equipment, software, internet access, and a valid email address. If a GPS-controlled technical problem prevents access, contact us so we can restore access, provide another reasonable delivery method, or consider a refund under our Refund Policy.

Subscriptions and automatic renewal

Except for standalone reports and products expressly identified as one-time purchases, subscriptions are sold for annual terms and renew automatically each year until canceled. The renewal price and billing terms are disclosed at checkout. By purchasing an automatically renewing subscription, you expressly consent to recurring annual charges until cancellation.

You may cancel at any time. Cancellation stops the next renewal and normally takes effect at the end of the paid term, so access continues through that date. Additional terms appear in our Subscription, Cancellation and Refund Policy, which is incorporated into these Terms.

Charter Discount and promotions

Unless the offer states otherwise, the Charter Discount applies to eligible annual subscriptions for the first three consecutive annual subscription payments. It is nontransferable, has no cash value, and may not be combined with another promotion unless GPS expressly permits it. Canceling or allowing the subscription to lapse ends future Charter Discount eligibility. Promotional terms displayed with a particular offer control if they differ from this section.

We may modify or discontinue promotions for future purchasers. A change will not retroactively alter a discount already promised for an active subscription, except when necessary to correct fraud, misuse, or an obvious pricing error and to the extent permitted by law.

Content license

Purchasing or accessing content gives you a limited license to use it; it does not transfer ownership or copyright. Individual and team permissions, attribution requirements, and prohibited uses are described in our Copyright and Content License Policy.

Unless GPS gives written permission, you may not share passwords, redistribute full reports, post paid content publicly, reproduce complete charts or substantial portions of content, resell content, scrape or bulk-download the website, use automated means to bypass restrictions, or use GPS content to train or develop an artificial-intelligence model or commercial dataset.

Acceptable use

You may not:

violate any law or another person’s rights;
impersonate another person or misrepresent an affiliation;
interfere with the operation or security of the website;
introduce malware or harmful code;
probe, scan, or test vulnerabilities without written authorization;
bypass a paywall, access control, download limit, or other protective measure;
use bots, crawlers, or automated extraction tools except ordinary search-engine indexing authorized by our technical settings;
access another user’s account;
use content or services for fraud, harassment, or unlawful discrimination; or
help another person do any of the above.

Third-party services and links

The website may link to or incorporate payment processors, email providers, analytics services, embedded media, public agencies, advertisers, sponsors, and other third parties. Third-party services are governed by their own terms and privacy practices. GPS does not control and is not responsible for third-party websites, services, availability, security, or content. A link does not necessarily constitute endorsement.

Corrections and availability

We try to present useful and timely information, but errors, omissions, delays, revisions, and service interruptions can occur. We may correct typographical errors, data, prices, product descriptions, and other content. If a material pricing error affects an unfulfilled order, we may cancel the order and issue a refund.

Disclaimers

To the fullest extent permitted by law, the website, content, products, and services are provided “as is” and “as available.” GPS disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that content will be complete, current, accurate, uninterrupted, secure, or error-free, or that use of the content will produce a particular result.

GPS content is general information and is not legal, tax, accounting, investment, securities, lending, real-estate, or other professional advice. Data, estimates, forecasts, and interpretations involve uncertainty. Review our Editorial, Data and Professional-Advice Disclaimer before relying on content.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you. Nothing in these Terms excludes rights that cannot lawfully be waived.

Limitation of liability

To the fullest extent permitted by law, GPS and its owner, contributors, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, loss of goodwill, or business interruption arising from or related to the website, content, products, or services.

To the fullest extent permitted by law, GPS’s aggregate liability for a claim relating to a paid product or service will not exceed the amount you paid GPS for that product or service during the 12 months before the event giving rise to the claim. For a claim relating only to free content or website use, GPS’s aggregate liability will not exceed $100.

These limitations do not apply to liability that cannot be limited under applicable law.

Indemnification

If you use the website or content on behalf of a business or organization, you agree, to the extent permitted by law, to defend, indemnify, and hold harmless GPS and its owner, contributors, and contractors from third-party claims, damages, and reasonable costs arising from your organization’s unlawful use, unauthorized redistribution, infringement, or material breach of these Terms. This section does not apply to a government entity to the extent the obligation is prohibited by law.

Suspension and termination

We may suspend or terminate access for nonpayment, fraud, a security threat, repeated account sharing, unauthorized redistribution, or another material violation. Termination for your breach does not require a refund except where required by law. Provisions concerning ownership, license restrictions, disclaimers, liability, disputes, and accrued payment obligations survive termination.

Governing law and disputes

These Terms are governed by California law, without regard to conflict-of-law principles. Subject to any nonwaivable consumer rights, any court proceeding must be brought in a state or federal court located in Riverside County, California, and each party consents to that court’s jurisdiction and venue.

Before filing a claim, you and GPS agree to make a good-faith effort to resolve the dispute by written notice describing the issue and requested resolution. This informal process does not extend a legal filing deadline unless the parties agree in writing.

Changes to these Terms

We may update these Terms. The “Last updated” date will show when they changed. If a change materially affects an active subscription, we will provide notice as required by law. Continued use after an effective change constitutes acceptance, except where affirmative consent is legally required.

General provisions

These Terms and incorporated policies constitute the agreement concerning standard website use and purchases. A signed custom-research agreement, government purchase agreement, or other written contract controls if it expressly conflicts with these Terms. If one provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not transfer your account or rights without our written consent. GPS may assign these Terms in connection with a sale, reorganization, or transfer of the business.
